Local newspapers continued to provide details on the story of the AmBev initial purchase of majority ownership (51%) of Presidente beer for US$1.237 billion. This includes a first payment of US$1 billion for 41.76% of E. Leon Jimenes shares and US$237 million in a future transaction for the Heineken-owned 9.3% ownership.

As a result of the buyout deal, it was revealed the Dominican state will receive more than RD$8.4 billion in taxes when the negotiations are closed over the next 28 days.

The announcement was made yesterday, Monday 16 April, in a press conference in Santo Domingo called by the presidents of the ELJ Group and the Cerveceria Nacional Dominicana, Abel Wachsmann and Franklin Leon, respectively, together with Alexandre Medicis, the AmBev vice-president for Hispanic Latin America.

Tenedora CND S.A., a holding company, will own 83.5% of the shares of CND and 100% of Ambev Dominicana S.A. ("Ambev Dominicana"), with Ambev Brasil owning an initial indirect 41.76% interest in CND.

Wachsmann reported that the payment of the sales tax for RD$8.4 billion would cover the sale of 41.76% of the CND shares for US$1 billion.

Regarding the resources that the state will receive from the sale by Heineken of its 9.3% of the shares that it had in the CND to AmBev, the Department of Taxes (DGII) refrained from providing details because they have not received the documents. The agreement says that the CND will operate under its own name and once the negotiations are completed, they will begin a process that will incorporate the operations of AmBev Dominicana.

CND will be managed by a board of directors with five members from AmBev and four from ELJ Group. From the ELJ Group, Jose Leon, Fernando Arturo Leon, Carlos Guillermo Leon and Guillermo Amore will sit on the board. Within the framework of the transaction, the joint value of both businesses was calculated at US$2.5 billion. The CND (Presidente) has 60% of the beer market, with Bohemia at 20% and Brahma the other 20%, according to Medicis.
